TodayFlow Terms of Service

These Terms of Service ("Terms") govern your use of TodayFlow, an iPhone application published by Magnaventa LLC, an Ohio limited liability company ("Magnaventa," "we," "us").

By downloading, installing, or using TodayFlow, you agree to these Terms. If you do not agree, do not use the app.

1. The Apple EULA also applies

TodayFlow is distributed through the Apple App Store. Your use of the app is also governed by Apple's Licensed Application End User License Agreement (Apple EULA), available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula. Where these Terms and the Apple EULA differ, the Apple EULA controls for issues Apple specifies (such as warranties, product claims, and intellectual property infringement claims), and these Terms control for everything else.

You acknowledge that these Terms are between you and Magnaventa, not between you and Apple. Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support for the app.

2. The service

TodayFlow is a today-focused day planner for iPhone that integrates with Apple Calendar and Reminders to help you organize your day. The app runs entirely on your device. There is no Magnaventa-operated server, no user account, and no data sync that we perform.

3. Subscriptions and auto-renewal

TodayFlow offers two subscription options:

  • Monthly: $4.99 per month, with a 7-day free trial for new subscribers.

  • Annual: $49.99 per year, with a 7-day free trial for new subscribers.

How billing works. Subscriptions are processed by Apple through your Apple ID. Payment is charged at confirmation of purchase, except during a free trial, when payment is charged at the end of the trial period unless you cancel before then.

Auto-renewal. Your subscription automatically renews at the same price and term unless you cancel at least 24 hours before the end of the current period. Apple charges your Apple ID for renewal within 24 hours prior to the end of the current period.

Cancellation. You can cancel at any time by going to Settings → [your name] → Subscriptions on your device, selecting TodayFlow, and tapping Cancel Subscription. Cancellation takes effect at the end of the current billing period; you keep access until then. You will not receive a refund for the unused portion of a paid period unless required by applicable law.

Free trial. A free trial is available once per Apple ID. If you cancel during the trial, you will not be charged. If you do not cancel before the trial ends, the subscription you selected will begin and your Apple ID will be charged.

Refunds. Refund requests are handled by Apple and are subject to Apple's refund policies, available at https://support.apple.com/HT204084.

Price changes. If we change subscription pricing, Apple will notify you in advance and you will have the opportunity to accept the new price or cancel.

4. Eligibility

TodayFlow is intended for users 13 years of age or older. By using the app you represent that you meet this age requirement. The app is not directed at children under 13.

5. Acceptable use

You agree not to:

  • Reverse engineer, decompile, or disassemble the app, except to the extent applicable law expressly permits.

  • Attempt to circumvent the subscription mechanism or otherwise access paid features without an active subscription.

  • Use the app in any way that violates applicable law.

6. No medical, clinical, or professional advice

TodayFlow is a productivity tool. It does not provide medical, clinical, psychological, therapeutic, or any other professional advice, diagnosis, or treatment. TodayFlow is not a substitute for advice or care from a licensed professional, including (without limitation) for ADHD or any other condition. If you have a medical or mental-health concern, consult a qualified professional.

7. Service availability

TodayFlow runs on your device. We do not operate servers required for the app's core functionality, and we do not guarantee any uptime or service-level commitment. Features that depend on Apple's frameworks (EventKit, StoreKit, iCloud, Notifications, Live Activities) are subject to Apple's own availability and to your device's configuration.

We may issue updates from time to time through the App Store. We may also discontinue the app or any feature in our discretion.

8. Disclaimers

TODAYFLOW IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR UNINTERRUPTED.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MAGNAVENTA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) TODAYFLOW, EVEN IF MAGNAVENTA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MAGNAVENTA'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO TODAYFLOW WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR TODAYFLOW IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) FIVE U.S. DOLLARS.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions the foregoing limitations apply to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Magnaventa from any claim, demand, loss, or damage arising out of your breach of these Terms or your misuse of the app.

11. Termination

You may stop using TodayFlow at any time. To end a subscription, follow the cancellation instructions in Section 3.

Magnaventa may suspend or terminate your access to TodayFlow if you materially breach these Terms. Upon termination, the provisions of these Terms that by their nature should survive (including disclaimers, limitations of liability, indemnification, and governing law) will continue to apply.

12. Changes to these Terms

We may update these Terms from time to time. If we do, we will update the "Last updated" date above. Material changes will be reflected in the next App Store release notes. Your continued use of TodayFlow after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or TodayFlow will be resolved in the state or federal courts located in Ohio, and you consent to the personal jurisdiction of those courts.

Apple App Store specific acknowledgment

You and Magnaventa acknowledge that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
